These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "Customer", "you", or "your") and Xemex Wellness ("Xemex Wellness", "we", "our", or "us"), an online wellness and personal care marketplace, governing your access to and use of the Xemex Wellness website, mobile applications, and all related services, content, features, and products (collectively, the "Platform").

By accessing, browsing, registering an account, placing an order, or otherwise using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms, together with all policies incorporated herein by reference, including but not limited to the Privacy Policy, Cancellation & Return Policy, and Shipping Policy.

2. Definitions

For the purposes of these Terms:

"Order" means a request submitted by you to purchase Products through the Platform.
"Products" means any goods, wellness products, skincare products, personal care products, or services offered for sale through the Platform.
"Content" includes, without limitation, text, graphics, images, videos, logos, product descriptions, trademarks, software, and other materials made available on the Platform.

3. Account Registration & Responsibilities

3.1 Account Creation
Certain features and services of the Platform may require you to create an Account. You agree to provide information that is accurate, complete, current, and truthful at all times and to promptly update such information whenever necessary.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities conducted through your Account.
Xemex Wellness shall not be liable for any loss, damage, or unauthorized activity arising from failure to safeguard account credentials.
3.3 Account Suspension or Termination
Xemex Wellness reserves the right to suspend, restrict, or terminate any Account that:
• Is involved in fraudulent, abusive, deceptive, or unlawful activity;
• Violates these Terms or any applicable policy;
• Remains inactive for extended periods; or
• Is associated with repeated order refusals, chargebacks, payment disputes, or false claims.

4. Platform Usage & User Obligations

4.1 Lawful Use
You agree to use the Platform solely for lawful purposes and in compliance with all applicable local, state, national, and international laws and regulations.
4.2 Prohibited Activities
You shall not:
• Misuse the Platform or interfere with its normal operation;
• Attempt to gain unauthorized access to systems, networks, databases, or information;
• Upload, transmit, or distribute malicious code, viruses, malware, or harmful software;
• Engage in data scraping, data mining, automated extraction, or unauthorized data collection;
• Impersonate any individual, organization, or legal entity.
4.3 Enforcement
Any violation of these Terms may result in immediate suspension, restriction, or termination of access without prior notice.

5. Product Information, Pricing & Availability

5.1 Product Descriptions
Xemex Wellness endeavours to ensure that all Product descriptions, specifications, images, pricing, and related information displayed on the Platform are accurate and up to date.
However, minor variations in colour, packaging, labeling, or appearance may occur.
5.2 Pricing Errors
In the event of any pricing, typographical, technical, or clerical error, Xemex Wellness reserves the right to cancel the affected Order, including after payment has been processed.
5.3 Product Availability
All Products are offered subject to availability. Xemex Wellness does not guarantee continuous availability of any Product listed on the Platform.

6. Orders & Payment

6.1 Order Placement
The placement of an Order constitutes an offer by you to purchase Products.
Acceptance of an Order shall occur only upon confirmation and dispatch by Xemex Wellness.
6.2 Payment Methods
Payments may be processed through authorized third-party payment gateways and payment service providers.
Xemex Wellness does not store sensitive payment information on its systems.
6.3 Fraud Prevention
To protect customers and maintain platform integrity, Xemex Wellness reserves the right to verify payments, request supporting documentation, investigate suspicious transactions, and cancel Orders deemed fraudulent or high risk.

7. Shipping & Delivery

7.1 Estimated Delivery Timelines
Shipping and delivery timelines provided on the Platform are estimates only and may vary depending on location, courier operations, logistics constraints, and unforeseen circumstances.
7.2 Delivery Delays
Xemex Wellness shall not be liable for delays resulting from incorrect shipping information, force majeure events, courier disruptions, governmental actions, or other factors beyond our reasonable control.
7.3 Transfer of Risk
Risk of loss, damage, or theft of Products shall pass to the Customer upon successful delivery.

8. Cancellation, Returns, Refunds & Replacements

All matters relating to cancellations, returns, refunds, exchanges, and replacements shall be governed by the Cancellation, Return & Refund Policy, which forms an integral and binding part of these Terms.

9. Health, Wellness & Product Disclaimer

Products offered through Xemex Wellness are not intended to diagnose, treat, cure, or prevent any disease unless expressly stated otherwise.
9.2 User Responsibility
Customers are advised to carefully read all product labels, ingredient disclosures, warnings, precautions, and usage instructions prior to use.

Xemex Wellness shall not be responsible for adverse reactions, sensitivities, allergies, misuse, overuse, or failure to follow product instructions and warnings.

10. Intellectual Property Rights

10.1 Ownership
All Content available on the Platform is the exclusive property of Xemex Wellness and/or its licensors and is protected under applicable intellectual property laws.
10.2 Restrictions
You may not copy, reproduce, distribute, publish, modify, display, transmit, exploit, or otherwise use any Content without prior written authorization from Xemex Wellness.
10.3 Enforcement

The Platform may contain links to third-party websites, services, applications, or resources for user convenience.
Xemex Wellness neither controls nor endorses such third-party platforms and shall not be responsible for any loss, damage, liability, or inconvenience arising from their use.

12. Limitation of Liability

To the fullest extent permitted under applicable law:
• Xemex Wellness shall not be liable for any indirect, incidental, special, consequential, or punitive damages;
• The total liability of Xemex Wellness shall not exceed the amount paid by the Customer for the Product giving rise to the claim;
• The Platform and all related services are provided on an "as is" and "as available" basis.

13. Indemnification

You agree to indemnify, defend, and hold harmless Xemex Wellness, its directors, officers, employees, affiliates, agents, and representatives from and against any claims, liabilities, losses, damages, costs, or expenses arising out of:
• Your breach of these Terms;
• Your misuse of the Platform; or
• Your violation of applicable laws or third-party rights.

14. Force Majeure

Xemex Wellness shall not be liable for any delay, interruption, or failure in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, pandemics, epidemics, strikes, labour disputes, government actions, internet disruptions, power failures, or system outages.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.
Any dispute arising out of or relating to these Terms, the Platform, or any transaction conducted through the Platform shall be subject to the exclusive jurisdiction of the competent courts located in Chennai, Tamil Nadu.

16. Amendments & Updates

Xemex Wellness reserves the right to amend, modify, revise, or update these Terms at any time without prior notice. Any changes shall become effective upon publication on the Platform.
Your continued use of the Platform following such updates shall constitute acceptance of the revised Terms.
